Equipment Flash Alerts Terms of Service

These Equipment Flash Alerts Terms of Service (“Terms”) govern your enrollment in and use of Equipment Flash Alerts offered by Hx Group LLC (“Hx Group,” “we,” “us,” or “our”). By signing up, submitting your contact information, or otherwise agreeing to receive Equipment Flash Alerts, you acknowledge that you have read and agree to these Terms. If you do not agree, do not enroll.

1. Description of Equipment Flash Alerts

Equipment Flash Alerts are informational notifications that may include:

·        Equipment for Sale: notices about used or new equipment that Hx Group or a third party may be offering for sale.

·        Equipment Wanted: notices describing equipment that Hx Group or a customer may be seeking to purchase.

Alerts may include equipment descriptions, photographs, specifications, location, asking price or budget information, and contact instructions. Availability, pricing, specifications, and other details may change without notice.

2. Consent to Receive Notifications

By enrolling, you expressly consent to receive Equipment Flash Alerts at the email address and/or mobile telephone number you provide. Alerts may be delivered by email, SMS/text message, or another communication method made available during enrollment. Your consent is not a condition of purchasing equipment or services from Hx Group.

If text messaging is offered, message and data rates may apply. Message frequency varies based on equipment availability, customer demand, and market activity. Carriers are not responsible for delayed or undelivered messages.

3. Your Information and Responsibilities

You agree to provide accurate, current contact information and to update it when necessary. You represent that you are authorized to use the email address or telephone number submitted and that you are legally able to agree to these Terms. You are responsible for reviewing equipment information, confirming that an alert matches your needs, and conducting your own inspection, testing, title review, and due diligence before entering any transaction.

4. How to Opt Out

You may stop receiving Equipment Flash Alerts at any time by using the unsubscribe link in an email alert or by following the opt-out instructions included in a text message, such as replying STOP. You may also contact Hx Group at Chris@HxGroupLLC.com. After opting out, you may receive a confirmation message, and it may take a reasonable period to process your request. Opting out of Equipment Flash Alerts does not cancel communications necessary to complete an existing inquiry or transaction.

5. Informational Notices; No Offer or Guarantee

Equipment Flash Alerts are provided for general informational and marketing purposes. An alert is not a binding offer, purchase commitment, appraisal, warranty, or guarantee that any equipment is available, wanted, suitable, or accurately described. Equipment may be sold, withdrawn, located, or no longer needed before you respond. Any purchase or sale is subject to separate written terms agreed to by the applicable parties.

6. Equipment Transactions and Due Diligence

You are solely responsible for evaluating any equipment and transaction, including verifying condition, ownership, liens, serial numbers, operating hours, specifications, regulatory compliance, transportation requirements, taxes, and suitability for your intended use. Unless stated in a separate written agreement signed by Hx Group, equipment is not warranted through an alert and no alert modifies any applicable “as-is, where-is” sales terms.

7. Third-Party Information

Some alerts may contain information supplied by equipment owners, buyers, sellers, brokers, or other third parties. Hx Group may not independently verify all third-party information and is not responsible for errors, omissions, or changes in that information. References to third-party equipment or demand do not constitute an endorsement or create an agency, partnership, or fiduciary relationship.

8. Privacy and Use of Contact Information

Hx Group may use the contact information you provide to administer Equipment Flash Alerts, respond to inquiries, maintain records of consent and opt-out requests, and communicate about potentially relevant equipment opportunities. You agree not to copy, scrape, automate, resell, misuse, or use the alerts for unlawful or deceptive purposes. Hx Group may suspend or terminate access for misuse.

9. Service Availability and Changes

Hx Group may change the content, frequency, delivery method, eligibility requirements, or availability of Equipment Flash Alerts at any time. Delivery is not guaranteed and may be affected by network, carrier, email provider, filtering, or technical issues. Hx Group may amend these Terms by posting revised Terms and updating the effective date. Continued enrollment after revised Terms take effect constitutes acceptance of the revised Terms.

10. Disclaimer of Warranties

To the fullest extent permitted by law, Equipment Flash Alerts are provided “as is” and “as available,” without warranties of any kind, express or implied. Hx Group disclaims warranties of accuracy, completeness, merchantability, fitness for a particular purpose, title, and noninfringement. Nothing in these Terms excludes a warranty or right that cannot lawfully be excluded.

11. Limitation of Liability

To the fullest extent permitted by law, Hx Group and its owners, employees, agents, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, opportunities, data, or business arising from or related to the alerts, delayed or failed delivery, reliance on alert content, or a transaction with any third party. Any liability that cannot be excluded will be limited to the amount, if any, you paid specifically to receive Equipment Flash Alerts during the twelve months before the event giving rise to the claim.

12. Governing Law and General Terms

These Terms are governed by the laws of the state in which Hx Group LLC is organized, without regard to conflict-of-law principles. If any provision is found unenforceable, the remaining provisions will remain in effect. Hx Group’s failure to enforce a provision is not a waiver. These Terms, together with any applicable privacy notice and separate written transaction agreement, constitute the agreement concerning Equipment Flash Alerts.
